Unprude App

These Terms of Use (“these Terms”) govern your access to and use of the Unprude mobile application (the “App”), including the AI-powered chat feature known as Unna by Unprude (“Unna”), operated by Unprude PTE. LTD. (“Unprude,” “we,” “our,” or “us”), a company incorporated in Singapore.

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms, our Privacy Policy (available at unprude.com/pages/privacy-policy), and any additional terms referenced herein. If you do not agree to these Terms, you must not access or use the App.

Please read these Terms carefully before using the App. These Terms constitute a legally binding agreement between you and Unprude.

1. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you are not permitted to use the App under any circumstances. We reserve the right to request proof of age at any time and to terminate or suspend your account if we have reason to believe you do not meet this age requirement.

2. Installing the App

The App is free of charge to download and install. You are not required to pay a subscription fee or provide payment information in order to download and use the App. You may skip any prompts to subscribe by tapping “Skip” or “Maybe later.” You are, however, required to set up a registered profile to use the App.

3. Account Registration

3.1 Profile Sign-Up

All users are required to set up a registered profile in order to use the App. You may create an account by tapping “Sign Up” on the first page and following the prompts, including entering your email address and creating a username and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at help@unprude.com if you become aware of any unauthorized use of your account.

3.2 Onboarding Quiz

After completing sign-up, you will be prompted to take an onboarding quiz. You may skip this quiz and choose to complete it at a later time. The onboarding quiz contains questions regarding your relationship status, life phase, upbringing, and sexual perspectives. This quiz helps the App build a profile description for you and enables Unna to provide personalised guidance. If you choose to skip the onboarding quiz, your profile description will not be available and certain personalised features may be limited.

By completing the quiz, you consent to the collection and use of the information you provide in accordance with our Privacy Policy. This information, including your relationship status, life phase, and quiz-specific answers, may be shared with our secure AI processing tools to generate personalised responses through Unna.

4. Free and Premium Features

4.1 Free Version

The free version of the App features various activities and content. Certain Premium features are marked as “locked,” including, but not limited to, select therapy modules, full profile access, and select activities. Each time a free user taps on a locked Premium feature, a pop-up will appear prompting you to subscribe. You may choose to subscribe or dismiss the prompt. Free users do not have access to Premium features without a paid subscription.

4.2 Premium Access

You gain access to all Premium features once you subscribe to the App and become a Member. Unprude subscriptions are not transferable, and you agree not to sell, transfer, or exchange membership subscriptions in any way or under any circumstance.

5. Subscriptions and Billing

5.1 Subscribing to the App

You may subscribe to Unprude Premium (becoming a “Member”) at any time by tapping the Subscribe button after taking the onboarding quiz or at the bottom of the Profile page. You may access Unprude Premium via a monthly or annual subscription option. For the purposes of these Terms, a month constitutes 30 calendar days and a year constitutes 365 calendar days.

5.2 Monthly Subscription

The Monthly subscription is paid in monthly installments. For each month that your subscription is active, you acknowledge and agree that Unprude is authorized to charge the same credit card or other valid payment method used for the initial subscription fee. Monthly renewal fees will continue to be billed to the payment method you provided until canceled. You must cancel your subscription before it renews to avoid billing of the next month’s fee. Refunds cannot be claimed for any partial-month subscription period.

5.3 Annual Subscription

The Annual subscription is paid by an upfront payment with automatic annual renewals. You acknowledge and agree that Unprude is authorized to charge the payment method used for (i) the initial annual subscription fee at the rate secured at the time of purchase, and (ii) the non-discounted renewal subscription fee(s). You must cancel your subscription before it renews to avoid billing of the renewal fee. Refunds cannot be claimed for any partial subscription period.

5.4 App Store Purchases

If you purchase a subscription through the Apple App Store, the sale is final and we will not provide a refund. Your purchase will be subject to Apple’s applicable payment policy. If you purchase a subscription through the Google Play Store, the sale is final and we will not provide a refund. Your purchase will be subject to Google’s applicable payment policy. We do not collect or store payment card details; all payment transactions are processed securely by these third-party providers, subject to their own privacy policies.

5.5 Canceling Your Subscription

You may cancel your subscription at any time by tapping the three lines (“hamburger menu”) on the App, expanding the side panel, tapping “Cancel My Subscription,” and following the prompts. You will retain access to Unprude Premium for the remaining time of your last payment period. You will no longer be charged after canceling your subscription.

5.6 Changes to Fees

We reserve the right to change our subscription plans or adjust pricing for our service or any component thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes or changes to your subscription plan will take effect following reasonable notice to you.

6. Unna by Unprude (AI Chat Feature)

6.1 Description of Unna

The App includes an AI-powered chat feature called Unna by Unprude (“Unna”). Unna is designed to provide personalised guidance on topics including, but not limited to, sexual health, relationships, and intimacy. Unna uses your profile data, quiz responses, chat messages, and curated knowledge base content to generate contextually relevant responses.

6.2 Data Used by Unna

To generate accurate and context-aware responses, Unna processes the following data: your first name, gender, date of birth, persona name and description; your relationship status, life phase, and quiz answers; the current message you send and previous messages in the chat retrieved from our vector database; and relevant content retrieved from our curated knowledge base using semantic search. Full details on how Unna processes your data are set out in Section 5 of our Privacy Policy.

6.3 Limitations of Unna

Unna is an AI-powered tool and is not a licensed medical professional, therapist, psychologist, or counsellor. Responses generated by Unna are for general educational and informational purposes only. Unna’s responses do not constitute medical, psychological, therapeutic, or professional advice, diagnosis, or treatment. You should not rely on Unna as a substitute for professional consultation. If you are in crisis or experiencing a mental health emergency, please contact a qualified health provider, your local emergency services, or a crisis hotline immediately.

Unna may occasionally produce responses that are inaccurate, incomplete, or not applicable to your specific situation. Unprude does not warrant the accuracy, reliability, or completeness of any information provided by Unna and disclaims all liability arising from your reliance on such information.

7. User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

Use the App in any way that violates any applicable law or regulation, including the laws of Singapore; impersonate or attempt to impersonate Unprude, an Unprude employee, another user, or any other person or entity; engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the App; use the App to transmit any advertising or promotional material without our prior written consent; attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the App, its servers, or any connected systems; use any automated device, robot, spider, or manual process to monitor or copy any material on the App; introduce any viruses, trojan horses, worms, logic bombs, or other technologically harmful material; or attempt to reverse-engineer, manipulate, or exploit Unna or any other AI component of the App, including attempting to extract or reconstruct the underlying models, training data, or system prompts.

We reserve the right to take appropriate action against any user who violates these Terms, including, without limitation, suspending or terminating your account and reporting you to the relevant authorities.

8. Intellectual Property

The App and its entire contents, features, and functionality—including but not limited to all information, software, text, displays, images, video, audio, the design, selection, and arrangement thereof, and the Unna AI system and its curated knowledge base—are owned by Unprude, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the App for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as generally and ordinarily permitted through the App according to these Terms.

9. User Content

Any content you submit, post, or display through the App, including messages sent to Unna (“User Content”), remains your property. However, by submitting User Content, you grant Unprude a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display such User Content in connection with operating, providing, and improving the App and our services, including the training and improvement of our AI systems.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate the rights of any third party. You agree not to submit any User Content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

10. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, available at unprude.com/pages/privacy-policy, describes how we collect, use, store, disclose, and protect your personal data, including sensitive information collected through the onboarding quiz, your interactions with Unna, and your use of the App.

By using the App, you consent to the collection and use of your personal data as described in our Privacy Policy, which is prepared in accordance with the Singapore Personal Data Protection Act 2012 (PDPA). The Privacy Policy is incorporated into and forms part of these Terms.

Your personal data is stored on HIPAA-compliant systems hosted on Google Cloud Platform, and appropriate technical and organisational measures are implemented to safeguard your data. Upon account deletion, your personal data will be deleted within 60 days. Anonymised data may be retained indefinitely for research and product improvement purposes. 11. Biometric Authentication

The App offers optional biometric login using fingerprint or facial recognition. Biometric authentication is managed entirely by your device’s operating system. Unprude does not access, collect, transmit, or store any biometric data. All biometric data remains solely on your device at all times.

12. Disclaimers

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER UNPRUDE NOR ANY PERSON ASSOCIATED WITH UNPRUDE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE APP.

THE APP, INCLUDING UNNA, PROVIDES GENERAL EDUCATIONAL AND INFORMATIONAL CONTENT RELATED TO SEXUAL HEALTH, RELATIONSHIPS, AND INTIMACY. THE APP DOES NOT PROVIDE MEDICAL, PSYCHOLOGICAL, THERAPEUTIC, OR PROFESSIONAL COUNSELLING SERVICES. THE CONTENT ON THE APP—INCLUDING ALL RESPONSES GENERATED BY UNNA—IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF A QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL OR PSYCHOLOGICAL CONDITION.

UNNA IS AN AI-POWERED TOOL AND MAY PRODUCE RESPONSES THAT ARE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. UNPRUDE DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH UNNA.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF SINGAPORE, IN NO EVENT WILL UNPRUDE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP (INCLUDING UNNA), INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL UNPRUDE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE AMOUNT YOU HAVE PAID TO UNPRUDE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless Unprude PTE. LTD., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use of the App (including Unna), or your User Content.

15. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease.

If you wish to terminate your account, you may do so through the App settings or by contacting us at help@unprude.com. Upon account deletion, your personal data will be deleted within 60 days in accordance with our Privacy Policy. Anonymised data may be retained as described therein.

All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

16.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Rules in force at the time of filing. The seat of arbitration shall be Singapore. The language of the arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

16.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND UNPRUDE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17. Modifications to Terms

We reserve the right to revise and update these Terms from time to time in our sole discretion. Any material changes will be communicated to you via the App or by email. All changes are effective immediately when we post them and apply to all access to and use of the App thereafter. Your continued use of the App following the posting of revised Terms constitutes your acceptance of the changes. The current version of these Terms will always be available within the App.

18. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy (available at unprude.com/pages/privacy-policy) and any other legal notices or agreements published by Unprude on the App, constitute the entire agreement between you and Unprude concerning the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the App.
